Terms and Conditions of Participation
(Effective as of July 1, 2024)
PLEASE READ CAREFULLY THESE TERMS AND CONDITIONS OF PARTICIPATION IN THE LIMELIFER™ CUSTOMER APPRECIATION LOYALTY PROGRAM. BY PARTICIPATING IN THIS PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT PARTICIPATE IN THIS PROGRAM. PLEASE REFER TO SECTION 15 (MEMBER DEACTIVATION OR CANCELLATION) HEREIN FOR INSTRUCTIONS ON OPTING OUT OF THE PROGRAM.
THESE TERMS AND CONDITIONS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. THEY AFFECT YOUR RIGHTS. PLEASE READ THEM. PLEASE REFER TO SECTION 12 (DISPUTE RESOLUTION) HEREIN FOR DETAILS.
The LimeLifer™ Customer Appreciation Loyalty Program (“Program”) is offered at the sole discretion of LimeLife USA LLC. (“LimeLife” “we,” “our” or “us”). It offers various participant benefits including level status, stars, credits, perks, or other rewards (collectively referred to as “Benefits”). No purchase is necessary to join the Program.
1. Membership Eligibility and Overview
1.1 Overview of the LimeLifer Rewards Program
The LimeLifer Rewards Program is a customer loyalty program designed to reward our customers for their loyalty to LimeLife by Alcone. Participants can earn LimeLifer Stars through eligible purchases and enjoy various benefits, including product credit and exclusive offers.
The Program is available to individuals for their personal use only and is limited to one account per individual. Corporations, associations or other groups may not participate in the Program. Individuals who are legal residents of the United States (including its territories and possessions) and at least 16 years or older or at least the age of majority in their state of residence and who maintain an active account with us are eligible to become members. This Program is not targeted at children or intended for use by anyone under the age of 16. Employees of LimeLife are not eligible to participate in the Program. We reserve the right to designate certain items on our LimeLifebyAlcone.com Website (the “Website”) as ineligible purchases. The Program may not be used for any business or commercial purpose and we may refuse to create an account for any reason.
1.2 Membership & Eligibility
By joining the Program, you (individually and collectively, “you,” “your,” or “Member”), agree that you have read, understood and agree to be bound by these Program Terms and Conditions of Participation (“Program Terms”) and by any changes or modifications we may make. You should review these Program Terms and Conditions and the related policies and FAQs frequently to understand the terms and conditions that apply to the Program as they may change from time to time. These Program Terms and Conditions do not alter in any way the terms or conditions of any other agreement you may have with us, including any agreement for products or services. By enrolling in the Program, you also agree to be bound by our Website Privacy Policy and our Website Policies and Terms and Conditions (collectively referred to as “Website Terms”), all of which are incorporated herein by reference. If you do not agree to these Program Terms and Conditions, our Website Terms, you cannot participate in the Program. In the event of any conflict between the FAQ, the Program Terms and Conditions, and our Website Terms, first the FAQ, then the Program Terms and Conditions, and then the Website Terms shall control. The Program is void where prohibited by law.
BY APPLYING FOR MEMBERSHIP IN THE PROGRAM, YOU AGREE (OR, IF YOU ARE A MINOR, YOUR PARENT OR LEGAL GUARDIAN HAS AGREED) TO BE BOUND BY THESE TERMS AND CONDITIONS ("TERMS"). NO PURCHASE IS NECESSARY TO BECOME A LIMELIFER.
1.3 You are required to provide the requested information, which may change from time to time, to set up an account and be auto-enrolled in the Program, and you must create a password in order to enroll.
1.4. You are solely responsible for maintaining the accuracy of your account information and for updating it as required. Program communications with you will be made using the information in your account. We are not responsible for your inability to receive or redeem stars, rewards, or other member Benefits, or any other loss arising from your failure to provide and maintain accurate contact information on your account. You may update your personal information on the Website through your account or by calling customer service at 1 844-BE-AMAZING or emailing us at: [email protected].
1.5. Members may not maintain more than one Program account. In the event that the same individual opens more than one Program account, the duplicate account may be terminated and the Member may be disqualified from the Program. In the event of a dispute over ownership of the Program membership account, the member will be deemed to be the authorized account holder of the email address submitted at the time of enrollment. For purposes of these Program Terms and Conditions, the "authorized account holder" is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. We reserve the right to monitor the number of accounts per person or household and refuse, merge or close additional or duplicate accounts at any time.
1.6. Your account information (including security details) is confidential and should not be shared with any other person.
2. Program Enrollment
2.1. Eligible individuals may enroll in the Program by visiting www.limelifebyalcone.com and following the Program prompts to set up an account. Existing customers before launch of the Program are automatically enrolled in the Program.
2.2. You are required to provide the requested information, which may change from time to time, to set up an account and be auto-enrolled in the Program, and you must create a password in order to enroll.
2.3. You are solely responsible for maintaining the accuracy of your account information and for updating it as required. Program communications with you will be made using the information in your account. We are not responsible for your inability to receive or redeem stars, rewards, or other member Benefits, or any other loss arising from your failure to provide and maintain accurate contact information on your account. 3. Program Tiers
The Program is a tier-based program determined by the amount a member has spent on eligible purchases. There are four (4) levels with associated Benefits.
3.1 Silver Status
Silver Status is automatically conferred upon registration and is indefinite unless the account is deactivated.
3.2 Gold Status
Gold Status is awarded to members who make at least one eligible purchase in a calendar year on limelifebyalcone.com and accumulate a minimum of 200 Stars. Gold Status is valid for the calendar year in which it's achieved and the following calendar year.
3.3 Platinum Status
Platinum Status is earned by making at least one eligible purchase in a calendar year on limelifebyalcone.com and accumulating a minimum of 500 Stars. Platinum Status is valid for the calendar year in which it's achieved and the following calendar year.
3.4 Diamond Status
Diamond Status is achieved by making at least one eligible purchase in a calendar year on limelifebyalcone.com and accumulating a minimum of 1,000 Stars. Diamond Status is valid for the calendar year in which it's achieved and the following calendar year.
3.5 Duration of Status
The highest status achieved will remain in effect for the calendar year in which it was achieved and the following calendar year. All statuses will reset to Silver Status on January 1st following the full year after the current year that you reach the higher status in if you don’t hit gold, platinum, or diamond status within the current year. However, product credit and rewards will remain available for a specified duration before their expiration.
3.6 Status Benefits
Program Benefits are based on status level achieved. You are eligible for a particular level’s Benefits while you have the number of stars that qualify you for that level, regardless of the number of stars you currently have. Benefits can only be redeemed on the Website and only with a product purchase, unless otherwise noted by LimeLife. You must be logged in to your Program account on the Website to use and redeem your Benefits. You will find your eligible offers and Benefits (with offer codes if applicable) listed either at your account summary page or at checkout when you are logged-in to your account.
4. Stars and Rewards System
4.1 Earning LimeLifer Stars
The Program is a way in which we reward and thank our loyal customers. You are able to earn stars and reach Program loyalty levels by making eligible purchases or taking certain other Program related actions. Once you earn a certain number of stars and/or reach a certain loyalty level, you may be eligible for certain Benefits, as defined below, and rewards applicable to that level and/or number of stars. These Benefits may change from time to time and may be offered on a limited basis. Eligible purchases and other opportunities to reach Program loyalty levels and earn stars will be posted on the Website or may be published through other media (e.g., in marketing communications, social media, etc.).
For new accounts that are opened upon or after we launch the Program, your star accumulation will begin once you have opened your account and made your first eligible purchase. For customer accounts that already existed before we launched the Program, orders placed from April 1, 2024 to the start of the new program are taken into account in the new LimeLifer program.
Product Credits will be issued on previous purchases at any time.
LimeLifer Stars are awarded for every eligible dollar spent on fulfilled orders of merchandise on limelifebyalcone.com. Stars are credited to a participant's account based on the country of purchase. Bonus Star events may be offered periodically.
Only purchases made on the Website are eligible for the Program. Purchases made in person at Beauty Guide Hostess Parties or were part of a bulk order, cash and carry transaction, or third party transaction that may be issued at our sole discretion from time to time are ineligible for the Program. For your purchase to qualify for the Program, you must be signed into your online account at the time of purchase on the Website. You do not receive stars for sales tax, state fees, discounts, shipping and delivery charges, use of previously earned stars, and/or other excluded charges specified by us from time-to-time. All stars earned from purchases on the Website are available within 24 hours of purchase, at which point they are fully matured and capable of redemption.
From time to time, LimeLife, in its sole discretion, may offer other ways to earn Program Benefits. Such offers will be subject to these Program Terms and Conditions and any additional terms set forth in that offer. Benefits may not be identified to member in advance. Activities or purchases tied to specific Benefits must be fully completed, as determined by LimeLife in its sole discretion.
4.2 Product Credit
LimeLifer Product Credit allows members to receive a discount on merchandise by earning increments of 100 LimeLifer Stars. The amount of product credit to be used can be determined at checkout. This discount can be applied to online purchases of $25 or greater. It has specific terms and exclusions.
4.3 Redeeming Stars for Rewards
Every 100 Stars earned will automatically reward LimeLifers with product credit. At Silver and Gold Status, every 100 Stars earned automatically rewards a customer's LimeLifer rewards account with $5 in product credit. At Platinum Status, every 100 Stars earned automatically rewards a customer's LimeLifer rewards account with $10 in product credit. At Diamond Status, every 100 Stars earned automatically rewards a customer's LimeLifer rewards account with $15 in product credit.
For example, if a customer at Silver Status has 50 Stars in their account and spends $100 on October 1st, they would unlock $5 in product credit that will expire on December 31st. The remaining 50 stars will expire on January 1st.
4.4 Reward Expiration
LimeLifer Stars remain eligible for one calendar year and reset on January 1 every year for all participating members. Product Credit earned in the program expires 3 months after your LimeLife purchase. In addition, stars will automatically expire if your account is revoked or otherwise canceled.
5. Types of Products Eligible for Stars
The value of "products" for Star accumulation includes all eligible limelifebyalcone.com purchases, with exceptions for Enrollment Packs. Every dollar spent on eligible purchases earns 1 star. Every 100 Stars rewards LimeLifers with product credit to be used on future purchase. See section 4.3.
5.1 Benefits earned through the Program have no cash value, are non-transferable and non-exchangeable, and you have no property rights in or to any type of Program Benefit. Stars may never be exchanged for cash or product. Product Credits may never be exchanged for cash unless used towards a qualifying eligible purchase as described herein.
5.2 Product Credit applied to your purchase is non-refundable. If you choose to return an item where you redeemed a LimeLifer Reward, you will be refunded for the price paid after applying the discount.
5.3 We may revoke Program Benefits obtained through fraudulent or other activity that violates these Program Terms and Conditions, as we may determine in our sole discretion. We are not responsible for Benefits lost or redeemed due to fraudulent activity by you or any third party. The sale, barter, transfer, or assignment of any Benefits offered through the Program, other than by us, is expressly prohibited.
6. Referral Program
Give 10%, Get $10
New referred friends get 10% off their first purchase if the order total before tax and shipping is $50.00 USD and you’ll earn $10 for that referred order if it exceeds $50.
*Qualified referrals spend $50+ USD/Subtotal is $50+. Cannot be combined with other discounts. Can be used on Subscriptions and AmazeBox. Cannot be used on enrollment packs.
$10 in product credit expires 3 months after the referred customer places an order.
6.1 Earning Referral Discounts
The referral program allows participants to earn discounts by referring new customers. Specific terms and conditions apply, including the minimum order amount and usage window.
6.2 Discount Exclusions
Discounts earned through referrals have restrictions and are non-transferable. May not apply with other promotional discounts or with promo codes.
6.3 Tax Liability
Participants are responsible for any tax liability resulting from discounts earned through referrals.
6.4 Once you have an active account, a personal referral link will appear in your account summary. You may share that link with as many others as you like. Referral link will only work in the USA, and you can only accrue Benefits based on orders shipped within the USA.
6.5. You should NOT use a link shortener to share your link, and your Referred Customer should not use a link shortener to enter it. Any use of link shortener will void the link and the associated Program Benefits.
7. Additional Program Benefits
7.1 Birthday, Anniversary, and Celebration Gifts
Participants in diamond and platinum are eligible to get a celebration gift one time per year. Participants in gold, diamond, and platinum are eligible to redeem a voucher for birthdays and anniversary occasions. Birthday and Anniversary vouchers are given on the 1st of the month in which the occasion falls and are valid until the end of that month. To qualify for a Birthday Perk: 1. The participant must complete the Date of Birth section in their customer profile. 2. This must be done before the first day of their birthday month. Example: If your birthday is in September, you must complete the Date of Birth section by August 31st at the latest to receive the Birthday Gift.Note: Filling out the Date of Birth section after your birthday month has begun will not activate the Birthday Gift for that year.
Celebration gifts will be given at checkout as a gift with purchase. Must make a minimum purchase of $25 to receive. Only available to those members in Platinum and Diamond status who continue to achieve that status with qualifying purchases in the current calendar year. For example, if you are maintaining a status such as platinum from hitting it in the prior year but you don’t make the qualifying purchases to hit platinum again in the current year you do not qualify.
7.2 Standard Shipping Benefit
Shipping perks, as explained in 5.1 above, are only applicable to one order per calendar month. Any unused free shipping option expires at the end of each calendar month and cannot be accumulated or accrued for use in a future month.
8. Handling Returns and Cancellations
Participants should be aware of how returns and cancellations impact their LimeLifer Stars and Product Credit, including the deduction of Stars for returned items. All stars earned from a returned purchase, including bonus Stars, will be deducted from your account when merchandise is returned that was originally purchased using your LimeLifer account. Return of merchandise purchased with a LimeLifer Product Credit will be for the price actually paid after applying the discount. Product credit deducted from your LimeLifer account or the discount/product credit application will not be refunded. Unused Product Credit rewarded through earning Stars will not be deducted from the participants account if an order is returned and may be used before expiration. If an order is canceled by LimeLife, Stars and Product Credit earned/used will be refunded.
Star Progression: If you return one product from your order, it will move your Star progress backward equivalent to the product value. If you return an entire order, it will move your Star progress back based on the exact same amount the Stars progressed upon placing that order.
Credits: If you return one product from your order, and you applied credits to that order, you will be refunded for the full price of the product. If you return an entire order, the refunded amount will be for the amount that was originally paid. The credits used for this returned order will not be reinstated to your account
9. Marketing Communications
9.1 By enrolling in the Program, you will be automatically subscribed to receive and consent to receiving Program related emails, including Program or other marketing emails. We also may give you the option to opt-in to receive other marketing communications from us at the time of enrollment .
9.2. You may opt-out of receiving Program marketing emails at any time, but operational emails will still be sent to you as they relate to your membership in the Program, and you consent to their receipt. Examples of these include, but are not limited to, a redemption confirmation email, a profile update email, or other communications that relate to your account. If you terminate your Program membership, you will no longer receive Program-related communications but you may receive other marketing emails.
10. Modification and Termination
10.1. The Program and its Benefits are offered at our sole discretion. We may, in our discretion, cancel, modify, restrict or terminate these Program Terms and Conditions, our FAQs, and/or the Program or any aspect or feature of the Program at any time or merge it with a new or different loyalty program, without prior notice and effective at our discretion, even though such changes may affect the value of Benefits already accumulated or earned and/or the ability to redeem accumulated Benefits.You waive any right you have to any notice of such changes or modifications. Your participation in the Program confirms your acceptance of these Terms and Conditions and such changes or modifications. You should review these Terms and Conditions and any applicable FAQs or other guidelines frequently to understand the terms that apply to the Program.
10.2. We reserve the right to change Program rewards or Benefits, how you reach each Program level, how you earn stars, and how we evaluate and reward your eligible purchases and/or other Program activity. We reserve the right to place limits on the number of purchases or activities that are eligible for the Program and/or for any given level or number of stars, the number or types of rewards or Benefits you may receive or earn in any given level or at any given number of stars, in a given time period or for the duration of the Program, and/or any combination thereof.
10.3. We reserve the right to exclude you from or to discontinue your participation in the Program and to audit your membership account at any time, in our sole discretion. Any suspected abuse of the Program, failure to follow any Program Terms and Conditions, illegal activity, fraud, misrepresentation or other conduct inconsistent with these Program Terms and Conditions and/or detrimental to us or our interests, including without limitation, any suspected illegal, fraudulent other unauthorized use of any Program rewards, stars, credits, vouchers, coupons and/or certificates, may result in the revocation of your membership and make you ineligible for further participation in the Program. If your membership is revoked, any Benefits in your account will automatically expire and your access to the Program and features will automatically terminate. If we suspect illegal activity, fraud, misrepresentation, abuse or violation of these Program Terms and Conditions, we also have the right to take appropriate legal action, in our sole discretion. Limelife shall be the sole arbiter of these decisions or actions described herein.
10.4. In the event we terminate the Program, we may, in our sole discretion, allow you to redeem any outstanding valid Benefits for a time period we may determine, also in our sole discretion.
10.5. If you do not agree to these Terms and Conditions or subsequent modifications,your sole remedy is to stop participating in the Program through appropriate termination of your Program account.
11. Disclaimer of Warranties; Limitation of Liability
11.1. NEITHER LIMELIFE NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THESE PROGRAM TERMS AND CONDITIONS OR THE PROGRAM OR ANY OF THE REWARDS OR BENEFITS ASSOCIATED WITH THE PROGRAM INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT TO THE EXTENT SUCH REPRESENTATIONS AND WARRANTIES ARE NOT LEGALLY EXCLUDABLE.ADDITIONALLY, WE MAKE NO REPRESENTATION, WARRANTIES, PROMISES, OR GUARANTEES AS THE AMOUNTS OF BENEFITS THAT YOU MAY EARN AS A PARTICIPANT OF THE PROGRAM.
11.2. YOU AGREE THAT NEITHER LIMELIFE NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE RESPONSIBLE OR LIABLE IN CONTRACT, WARRANTY OR IN TORT (INCLUDING NEGLIGENCE) FOR ANY (a) INTERRUPTION OF BUSINESS; (b) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO THE PROGRAM; (c) DATA NON-DELIVERY, LOSS, THEFT, MISDELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (d) LOSS OR DAMAGES OF ANY SORT INCURRED AS A RESULT OF DEALINGS WITH OR THE PRESENCE OF THIRD PARTY LINKS ON THE WEBSITE OR USE OF ANY REWARD OR BENEFIT OF THE PROGRAM; (e) COMPUTER VIRUSES, SYSTEM FAILURES OR MALFUNCTIONS WHICH MAY OCCUR IN CONNECTION WITH YOUR USE OF THE WEBSITE, INCLUDING DURING HYPERLINK TO OR FROM THIRD PARTY WEBSITES; (f) ANY INACCURACIES OR OMISSIONS IN PROGRAM CONTENT; OR (g) EVENTS BEYOND OUR REASONABLE CONTROL. WE MAKE NO REPRESENTATIONS OR WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED.
11.3. FURTHER NEITHER LIMELIFE NOR OUR PARENTS, SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS OR BENEFITS) ARISING FROM, IN CONNECTION WITH, OR RELATED TO THE PROGRAM OR AND YOUR PARTICIPATION THEREIN, WHETHER IN CONTRACT, WARRANTY OR IN TORT (INCLUDING NEGLIGENCE), EVEN IF WE HAVE BEEN ADVISED OF OR COULD HAVE FORESEEN THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED ONE HUNDRED DOLLARS ($100.00).
11.4. YOU AGREE THAT NO CLAIMS OR ACTION IN CONTRACT, WARRANTY OR IN TORT (INCLUDING NEGLIGENCE) ARISING OUT OF, OR RELATED TO, YOUR PARTICIPATION IN THE PROGRAM, USE OF ANY REWARDS OR OTHER BENEFIT OR THESE PROGRAM TERMS AND CONDITIONS MAY BE BROUGHT BY YOU MORE THAN ONE (1) YEAR AFTER THE CAUSE OF ACTION RELATING TO SUCH CLAIM OR ACTION AROSE. IF YOU ARE DISSATISFIED WITH THE PROGRAM, TERMINATION OF YOUR MEMBERSHIP IN THE PROGRAM IS YOUR SOLE REMEDY. WE HAVE NO OTHER OBLIGATION, LIABILITY, OR RESPONSIBILITY TO YOU.
12. Dispute Resolution - Binding Arbitration
12.1. PLEASE READ THIS "ARBITRATION" SECTION CAREFULLY. IT AFFECTS RIGHTS THAT YOU MAY OTHERWISE HAVE. IT PROVIDES FOR RESOLUTION OF MOST DISPUTES THROUGH ARBITRATION INSTEAD OF THROUGH COURT TRIALS AND CLASS ACTIONS.
MOST CUSTOMER CONCERNS CAN BE RESOLVED QUICKLY AND TO THE CUSTOMER'S SATISFACTION BY CONTACTING LIMELIFE PER THE INFORMAL RESOLUTION PROCESS BELOW. IN THE UNLIKELY EVENT THAT LIMELIFE’S CUSTOMER SERVICE DEPARTMENT IS UNABLE TO RESOLVE YOUR CONCERNS, WE EACH AGREE TO THE PROVISIONS OFTHIS DISPUTE RESOLUTION SECTION.
ARBITRATION IS MORE INFORMAL THAN A LAWSUIT IN COURT, USES A NEUTRAL ARBITRATOR INSTEAD OF A JUDGE OR JURY, AND DISCOVERY IS MORE LIMITED. ARBITRATORS CAN AWARD THE SAME DAMAGES AND RELIEF THAT A COURT CAN AWARD.
YOU ARE WAIVING YOUR RIGHT TO SUE OR DEFEND A SUIT IN COURT, INCLUDING YOUR RIGHT TO A JURY TRIAL, BY AGREEING TO ARBITRATE. ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS. CLASS ARBITRATIONS, CLASS ACTIONS OR REPRESENTATIVE ARBITRATIONS ARE NOT PERMITTED. ARBITRATION IS FINAL AND BINDING AND SUBJECT TO ONLY VERY LIMITED REVIEW BY A COURT.
12.2. Limitation of Time to File Claims. Any cause of action or claim you may have arising out of or relating to these Terms and Conditions and/or the Program must be commenced within one (1) year after the cause of action accrues otherwise such cause of action or claim is permanently barred.
12.3. Informal Resolution. In the event of any dispute, controversy or claim arising out of or relating to these Terms and Conditions or the Program (“Dispute”), you agree that before taking any formal action, you will contact us at [email protected](“Notice Address”), provide a brief, written description of the dispute and your contact information (including your username if your dispute relates to an account) and allow 60 days to pass, during which we will attempt to reach an amicable resolution of any issue.
12.4. Class Action Waiver and Jury Waiver.You and we each agree that any proceeding, whether in arbitration or in court, will be conducted only on an individual basis and not in a class, consolidated or representative action. If you opt out of the arbitration provision as specified below, this class action waiver provision will not apply to you. Neither you, nor any other customer, can be a class representative, class member, or otherwise participate in a class, consolidated or representative proceeding without having complied with the opt-out procedure set forth above. If this specific subparagraph is found to be unenforceable in its entirety, then the entirety of this Dispute Resolution section shall be null and void as to you. If for any reason a claim proceeds in court rather than through arbitration, you and we each waive any right to a jury trial.
12.5. Governing Law for Disputes. Any dispute arising from these Terms and Conditions or your access to or participation in the Program will be governed by and construed and enforced in accordance with the laws of New York, without regard to conflict of law rules or principles. Any dispute between the parties that is not subject to arbitration or cannot be heard in small claims court will be resolved in the state or federal courts located in New York, New York.
12.6. Arbitrator Authority. The arbitrator shall interpret and determine the validity of the arbitration provision, including unconscionability. The arbitrator will have no authority to award punitive or other damages not measured by the prevailing party's actual damages, except as may be required by statute. The arbitrator shall not award consequential damages in any arbitration initiated under this section. Any relief ordered cannot and shall not affect other users of the Program.
12.7. Costs of Arbitration. Fees for filing, AAA administration, and arbitrator’s fees are set forth in the Consumer Arbitration Rules, as may be amended from time to time. LimeLife will reimburse you for your filing fee ($200 as of the date of the last update of these Terms and Conditions) for claims you file totaling less than $1,000. Each party will bear the fees and expense of its own attorneys, experts, witnesses and preparation and presentation of evidence at the arbitration. Regardless of the amount in controversy, LimeLife will not request its attorney’s fees, filing fees, AAA administration and arbitrator’s fees (collectively the “Costs”) unless the arbitrator finds that your claims are frivolous or brought for an improper purpose. In such case, LimeLife will not reimburse you for your filing fee and may seek LimeLife’s Costs.
12.8. Changes. Notwithstanding any provision in this Agreement to the contrary, we agree that if LimeLife makes any change to this arbitration provision (other than a change to the Notice Address) after your enrollment in the Program, you may reject any such change and require LimeLife to adhere to the language in this provision as written at the time of your enrollment or purchase if a dispute between us arises. This clause only provides you with rights in connection with changes to this arbitration provision and not to any other changes LimeLife may make in its sole discretion as provided in the Program Terms and Conditions.
13. Indemnification
You agree to defend, indemnify and hold us, our parents, subsidiaries, affiliates, partners, licensors, officers, directors, employees, and agents harmless for any loss, damages or costs, including reasonable attorneys' fees, resulting from any third party claim, action, or demand resulting from (i) your participation in the Program in violation of any law, rule, regulation, or these Program Terms and Conditions, (ii) based upon content you create in relation to the Program, or (iii) your breach of your responsibilities, warranties, or representations in relation to the Program.
14. Governing Law
This Program and these Program Terms and Conditions will be governed by and construed under the substantive laws of the State of New York, as if they were a contract wholly entered into and wholly performed within New York and without reference to conflict-of-laws considerations.
15. Member Deactivation or Cancellation
If you decide you no longer want to be a part of the Program, you may deactivate or cancel your membership at any time by contacting customer service at 1-844-BE-AMAZING or [email protected]. If you deactivate or cancel your membership or upon the account-holder’s death, you will forfeit automatically any unredeemed rewards or Benefits, and they will no longer be available for redemption. In addition, upon deactivation or cancellation you will lose all accumulated stars, Benefits, and level status.
16. Intellectual Property
16.1. We grant you a non-exclusive, royalty-free, non-transferable, revocable right to access and use the Program and Referral Links solely in accordance with the terms herein and for the sole purposes contemplated herein. LimeLife reserves all rights in the Program, the Links, its trademarks (including but not limited to LimeLife™, LimeLifer™, and LimeLife by Alcone™) and all other intellectual property or other rights of any kind.
16.2. Except as permitted herein, you shall not and are not authorized to: (i) use our trademarks, names or any of our other intellectual property, including without limitation, the Referral Links, (collectively, the “LimeLife IP”) (or any variations or misspellings thereof or other term or terms confusingly similar to any of the foregoing) without our express prior written permission; (ii) use the LimeLife IP in a domain or website name, in any bids for keywords or google ads (or similar programs at other search engines), in any search engine advertising (paid or otherwise), in any metatags, google ads (or similar programs at other search engines), key words, advertising, search terms, code, or otherwise; (iii) act in any way that causes or creates or could cause or create any "initial interest confusion" over the use of the LimeLife IP on the Internet or in any search engine advertising. Your use of the LimeLife IP in any manner, other than as expressly permitted hereunder shall constitute unlawful infringement of our intellectual property rights, and may subject you to claims for damages (including potential treble damages for knowing or willful infringement), and the obligation to pay our legal fees and costs in connection with any action or proceeding in which LimeLife seeks to enforce its rights with regard to any of LimeLife’s intellectual property rights.
16.3. You grant to LimeLife a non-exclusive, royalty-free, non-transferable, perpetual license to utilize your name, title, trademarks, logos and all Program-related content in any advertisement or other materials used to promote LimeLife, the products, or the Program, provided that our use of such materials is not required and is at its sole discretion.
17. Privacy
The personal information collected from you in connection with the Program, including but not limited to purchases made in connection with your Program membership, will be used and disclosed by us in accordance with the LimeLife Privacy Policy . Without limiting the foregoing, we will use and retain your personal information to (1) provide goods and services to you, such as servicing and maintaining your Program membership with us; (2) protect against deceptive and fraudulent activity; (3) enable internal uses that are consistent with our Privacy Policy ; and (4) comply with a legal obligation.

What types of products count for collecting LimeLifer Stars?
The value of "products" for purposes of collecting product credit includes all products sold on limelifebyalcone.com with the exception of Enrollment Packs.
What happens to my Stars when I return items?
All stars earned from this purchase, including bonus Stars, will be deducted from your account when merchandise is returned that was originally purchased using your LimeLifer account.
What happens to my LimeLifer Stars if part of my order is canceled?
LimeLifer Stars are awarded for all products that are purchased. If an item is canceled from your order, you will not be charged and you will not receive LimeLifer Stars for that item.
How does LimeLifer Product Credit work?
All members can automatically redeem product credit vouchers depending on their rank to be deducted from their next purchase at limelifebyalcone.com. To redeem, LimeLifers members need to have at least 100 Stars in their current Star bank, and their purchase must be $25 or more.

If I return an item that I used Product Credit to buy, will I be refunded for the cash/stars?
Product Credit applied to your purchase is non-refundable. If you choose to return an item where you redeemed a LimeLifer Reward, you will be refunded for the price paid after applying the discount.
What are Rewards?
Rewards may include, but are not limited to, deluxe-sized samples, full-size product, merchandise, coupon codes, or product credit.
Can I return Rewards?
Unfortunately, Rewards may not be returned or exchanged for stars or cash, or for another product.
Will I earn Stars when redeeming my Rewards?
You will not earn Stars on the value of the Reward but you will earn Stars on any incremental dollars spent on product in the transaction.
What happens to my Product Credit if part of my order or entire order is canceled by LimeLife?
If Product Credit is used towards an order that is partially or fully canceled by LimeLife, the product credit used will be returned to your account unless otherwise stated by the customer to be used towards the balance of the order.
Can I give my LimeLifer Reward promo codes to someone else?
Rewards are not transferable and may not be sold, transferred or assigned to anyone else. Attempts to transfer the code may invalidate the Reward. You can always use your Reward to purchase merchandise as a gift for someone else.
Can I use my LimeLifer Reward Promo Code in conjunction with promotional discounts?
A LimeLifer Reward cannot be used in conjunction with any promotional discounts.
How can I redeem my Birthday, Anniversary or Celebration Gift?
Happy Birthday, LimeLifer! LimeLifers who have reached Gold, Diamond or Platinum status are eligible to redeem one Birthday Gift Voucher or Anniversary Voucher with merchandise purchase. Birthday and Anniversary Vouchers are emailed as a unique promo code on the 1st of the month in which the occasion falls and are valid through the end of that month. To redeem, a merchandise purchase is required and the voucher will be available at checkout. Merchandise does not include subscriptions, taxes or shipping. Celebration Gifts are only for Limelifer members in the Gold, Diamond and Platinum tiers. They may not be returned or exchanged.
